Terms of service

These terms govern use of the ScientistWorkbench service (the "Service") provided by [COMPANY NAME], [ADDRESS] ("we", "us"). By creating an account or using the Service you ("Customer", "you") agree to them. If you use the Service on behalf of an organisation, you represent that you can bind it.
1. The Service
The Service runs computational scientific analyses requested through our API, MCP server or dashboard, in isolated sandboxes operated on our behalf by our infrastructure subprocessors, and returns generated reports, figures, tables, code and related records ("Outputs"). The Service is provided to businesses and professionals; it is not intended for consumers.
2. Accounts and keys
You must provide an accurate work email. You are responsible for all activity under your account and API keys, for keeping keys confidential, and for revoking keys that may be compromised. We may suspend accounts that we reasonably believe are abusive, unpaid, or in breach of these terms.
3. Tokens, fees and payment
- The Service is prepaid. Usage is measured in tokens, purchased in packs or granted as trial tokens at our discretion.
- Each job debits tokens in proportion to the model, tool and sandbox usage it consumed, plus a platform fee for jobs that complete; current pack sizes and typical per-job usage are shown on the pricing page and the tokens debited on every result. There is no per-job cap. A job is never stopped for budget; its usage is debited when it ends, and a balance may go negative, which blocks further submissions until topped up. You remain liable for a negative balance.
- Prices may change with 14 days' notice on the pricing page; changes never apply to jobs already submitted.
- Tokens are non-transferable and, once used, non-refundable. Unused purchased tokens are refundable within 14 days of purchase on request, less any tokens used. Trial tokens have no cash value. Where we caused a job to fail we will refund its debit.
- Payments are processed by Stripe or by invoice (enterprise). Taxes are your responsibility unless stated on the invoice.
4. Acceptable use
You must not: submit content you have no right to process; submit personal data beyond what your agreement with us allows (see the privacy policy and DPA); attempt to access other tenants' jobs or to circumvent sandbox, rate or concurrency limits; use the Service to develop weapons, to synthesise controlled or harmful agents, or for any use prohibited by the usage policies of our model providers, which apply to your use of the Service; or use Outputs in clinical care without qualified professional review (see the AI disclosure).
5. Your content and Outputs
You retain all rights in the prompts and files you submit ("Inputs"). You grant us a licence to process Inputs and store Outputs solely to provide the Service. As between you and us, you own the Outputs. Outputs are generated by AI and may be inaccurate, incomplete or similar to Outputs generated for others; you are responsible for evaluating them before use.
6. Data handling and retention
Inputs are mounted read-only into a per-job sandbox and the upload is removed after mounting. Artifacts are retained for 90 days; result documents (summary, findings, billing) are retained while your account exists, or until you ask us to delete them. Our sub-processors are listed on the DPA page. Prompts and Outputs are processed by our model and sandbox provider.
7. Availability and changes
We aim for high availability but the Service is provided without an uptime commitment unless an enterprise agreement says otherwise. We may change or discontinue features with reasonable notice. Job durations and costs vary with the task and the models involved.
8. Warranties and disclaimer
THE SERVICE AND OUTPUTS ARE PROVIDED "AS IS" AND "AS AVAILABLE". TO THE FULLEST EXTENT PERMITTED BY LAW WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY AND NON-INFRINGEMENT. OUTPUTS ARE NOT PROFESSIONAL, MEDICAL, REGULATORY OR LEGAL ADVICE.
9. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, NEITHER PARTY IS LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR LOST PROFITS, DATA OR GOODWILL. OUR TOTAL LIABILITY UNDER THESE TERMS IS LIMITED TO THE AMOUNTS YOU PAID US IN THE TWELVE MONTHS BEFORE THE CLAIM. These limits do not apply to liability that cannot be limited by law.
10. Indemnity
You will defend and indemnify us against third-party claims arising from your Inputs, your use of Outputs, or your breach of these terms.
11. Termination
You may close your account at any time by emailing ops@scientistworkbench.com. We may terminate for material breach with notice, or immediately for abuse or non-payment. Sections 3, 5, 8–12 survive termination.
12. General
These terms are governed by the laws of [GOVERNING LAW / JURISDICTION], with exclusive jurisdiction of its courts. They are the entire agreement about the Service and supersede prior agreements; an enterprise agreement prevails over them where it conflicts.
